# Atom Terms of Service (ATOS)

## 1. Definitions

- **Atom**, **we**, or **us**: Refers to Atom and its affiliates that provide the Services.
- **You** or **Your**: The individual or entity using the Services.
- **Services**: All products, websites, applications, and offerings provided by Atom.
- **Content**: All text, data, information, graphics, audio, video, and other material available through the Services.
- **User Content**: Content provided by a User or Member, including Entries, listings, messages, and feedback.
- **User**: Any person or entity that accesses or uses the Services.
- **Member**: A User who has created an account with Atom to access or use any Service.
- **Buyer**: A Member who purchases or requests goods or services through the Services.
- **Creative**: A Member participating in a Contest by submitting an Entry.
- **Seller**: A Member who lists domain names, creative assets, or other property for sale in the Marketplace.
- **Registrant**: A Member who registers, renews, transfers, or manages a Domain through our Domain Registration Services.
- **Guidelines**: Any rules or policies published by Atom on its Website for a particular Service.
- **Contest**: An online project or event hosted by a Buyer to invite Creatives to submit Entries for a specific creative, marketing, or design need.

## 2. Your Agreement with Us; Order of Precedence
- **Contracting Entity**: Your agreement is with Atom and its affiliates.
- **Binding Agreement**: By creating an account or using any Service, you agree to be bound by these Atom Terms of Service and policies published on our Website.

## 3. Acceptable Use
- **General Obligation**: You agree to use the Services lawfully, responsibly, and only for their intended purposes.
- **Prohibited Conduct**: You may not use the Services in any way that violates any law, regulation, or the rights of others.

## 4. Payments, Credits, Taxes, and Refunds
- **Payments**: All payments for Services must be made through Atom’s authorized payment providers.
- **Atom Credits**: Non-cash credits redeemable only for specified features or services within the platform.
- **Withdrawals**: You may request a withdrawal of eligible Dollar Credits at any time.
- **Taxes**: You are solely responsible for determining and satisfying all taxes associated with your use of the Services.
- **Refunds**: Governed by Atom’s Refund Policy.

## 5. Intellectual Property
- **Ownership of Atom Materials**: Atom owns all Intellectual Property Rights in the Services.
- **Your Content**: You retain ownership of all Intellectual Property Rights in your User Content.

## 6. Privacy and Data Use
- Your use of the Services is subject to Atom’s Privacy Policy.
- **Data Shared for Service Delivery**: Atom may share certain information with affiliates and service providers to provide the Services.

## 7. Suspension and Termination
- **Suspension of Services**: Atom may suspend or restrict your User Account for violation of ATOS or applicable law.
- **Termination by Atom**: Atom may terminate your User Account at any time, for any reason.

## 8. Disclaimers and Limitation of Liability
- **NO WARRANTY**: The Services are provided “AS IS” without warranties of any kind.
- **Limitation of Liability**: To the maximum extent permitted by law, Atom and its affiliates will not be liable for any indirect, incidental, special, or consequential damages.

## 9. Indemnification
- You agree to indemnify Atom from any claims arising out of your use of the Services or breach of ATOS.

## 10. Dispute Resolution and Arbitration
- **Informal Resolution**: Agree to try to resolve disputes informally before arbitration.
- **Agreement to Arbitrate**: Any dispute will be resolved by binding arbitration instead of in court.

## 11. General Terms
- **Entire Agreement**: These ATOS constitute the entire agreement between you and Atom regarding your access to and use of the Services.
- **Amendments**: Atom may amend these ATOS at any time by posting the updated version on its Website.

### Acceptance and Effective Date
By using the Services, you acknowledge that you have read, understood, and agree to be bound by these ATOS and any applicable service agreements.
